Practice

Edward’s practice is predominantly litigation and covers a broad range in the Chancery and commercial fields.

He is involved in cases concerning the construction of commercial contracts and guarantees, directors’ duties, company and shareholder issues, insolvency.

A significant proportion of his work includes fraud, constructive trusts and the tracing of assets and the appropriate measure of damages/compensation under the Companies Act and in negligence and fraudulent misrepresentation.

In recent years he has appeared in cases in Hong Kong, the Cayman Islands and the British Virgin Islands.

Edward also undertakes commercial drafting and advisory work in the company/insolvency and banking spheres and has settled banking documentation for one of the clearing banks, advised on a disposal of underwriting business at Lloyds and drafted two complex multi-company schemes of arrangement recently sanctioned in the Hong Kong Court of Final Appeal.

  • Scottish & Newcastle Plc v Raguz [2007] 2 All ER 871 (CA) (construction and application of s 17 of Landlord and Tenant (Covenants) Act 1995)
  • Yewbelle v London Green Developments [2007] 2 EGLR 152 (CA) (term to be implied in contract for sale of development land)
  • Murray v Leisureplay [2005] EWCA Civ 963 (whether termination provision in director’s service contract unenforceable as a penalty)
  • Eurobrokers Holdings Ltd v Monecor (London) Ltd [2003] 1 BCLC 506 (CA) (extension of ‘Duomatic’ principle to shareholders’ agreement)
  • Barings v Coopers & Lybrand & Ors [2003] PNLR 34 on behalf of Deliotte & Touche (Singapore) in that firm’s contribution claim against Coopers & Lybrand (London) (11.06.03) (unreported) and
  • Kuwait Airways Corporation in its damages claim for the conversion of certain of its aircraft after the 1990 invasion of Kuwait, (November 2003).
  • Paragon Finance Plc v Nash [2002] 1 WLR 685 (CA) (whether term as to honesty, fairness and reasonableness to be implied in variable rate mortgages – Consumer Credit Act 1974)
  • He also represented Lloyd's in enforcement proceedings arising out of R&R/Equitas.
